TERMS AND CONDITIONS OF SALE
The following Terms and Conditions shall govern the sale of any product or service (collectively referred to herein as the “Products” or a “Product”) sold by CTRADERS Ltd. (“CTRADERS”) directly or indirectly through its authorized agents, distributors or resellers, to the purchaser stipulated on a CTRADERS invoice or price quotation (“Purchaser”), unless otherwise expressly agreed to in writing by CTRADERS. CTRADERS shall not be bound by the terms of any order, sales or online sales forms which are inconsistent with or additive to these Terms and Conditions.

These businesses to consumer terms and conditions of service regulate the relationship between a supplier of a service and their consumer client. Standard Terms and Conditions of Business, including Services Business to Business, Sale of Goods (2 versions), Goods and Services, IT Services, Purchase, Export and Event Management.

All goods and services are listed in an honest, clear and transparent fashion. All trademarks, rights and identifying marks belong to their respective owners. CTRADERS does not own any products copyrights, trademarks and or products as it is not a manufacturer. All goods are distributed, offered for sales, trade, or whatever means that identifies the method, legality of buying and selling, CTRADERS is rightfully recognise, known as to carry out these method of sales as a business trading company.

CTRADERS operates its services through websites, auctions and other sites, eCommerce and others, catalogue distribution and mail house services; as part of its overall operation to execute business.

CTRADERS reserve the right to operate and conduct business within the legal constraint of a full UK registered company. Further description of goods and services is discussed below.



Return, Refund and Cancellation policy

We offer a 100% refund for any returns / cancellation or purchase within 10 business days. All cancellations must be corresponding to us via email, mail, post, fax, or whatever means that is acceptable to indicate in writing to us. Returns must be in its original package/s and remains unused; any return is post, courier at the expense of the customer. Returns must reach us from the date of our dispatch a maximum of ten days.

All cancellations will not be honoured if the product was / is dispatch; cancellation is accepted if the product was / is return unused to CTRADERS. All ownership and titles remains with CTRADERS until payment is accepted in full.


1.4 Shipping / Delivery Policy

We will contact you to arrange payment for additional delivery costs, if different to publish cost. For our International customers, please contact us BEFORE placing your order so we can work out the appropriate postage costs to your country. You will have a chance to review the delivery charges before submitting your order. Actual cost submitted after you have confirmed your order. Delivery is within 1 -5 working days or sooner whenever possible. We will contact you when your order has been dispatch to inform you of delivery date and tracking details. All descriptions are listed in an honest fashion. There will be no refunds for items unless exceptional circumstances. All products return must be in original packaging and seal is not broken. Shipping and handling fees are none refundable. Buyer is responsible for shipping costs incurred when shipping products back. 1. ORDER, SALES OR ONLINE SALES AND SHIPPING AND INSURANCE
Placement of Order, sales or online sales: Order, sales or online sales for Products shall be placed in online purchases, writing by mail, fax or PDF format e-mail to

CTRADERS.
Each order, sales or online sales shall specify: (i) the quantity, model, and price of each Product order, sales or online sales;
(ii) The date purchase or requested for, and the address of the place of, delivery; (iii) the name, address,
Telephone, fax number and e-mail address of the customer also any carrier or freight forwarder specifically requested by Purchaser;
(iv) The name address, telephone, fax number and e-mail address of Purchaser; as well as (v) the name, address telephone, fax number and e-mail address of the end-user, if different from the Purchaser.

Confirmation of Order, sales or online sales, upon receipt of an order, sales or online sales,
CTRADERS shall respond in writing by stating:

•any proposed changes in the Products or quantities of the Products; and
•(ii) The date on or before which CTRADERS expects to be able to make delivery to the carrier or freight forwarder.
•An order, sales or online sales shall be binding on CTRADERS only upon the issuance by CTRADERS of written confirmation of such order, sales or online sales.
•All product sold is accepted as 100% guarantee fair trade according to law and is accepted as the full and final value of monetary exchange for and to the product purchase according to legal acknowledgment BUY and SELL between purchasers and sellers.
•All product refund is 100% guarantee to the Purchaser provided that the said same Purchaser/s did not received any product from us the Sellers, and or the Purchasers do not accept any new designs as alternative to satisfy the full obligation of Buying and Selling.
•If said Purchaser/s received any or all products from us the Sellers, a full 100% refund is given only upon the Sellers receiving the product in its original form / packaging materials and all such items or product that the Sellers deem to be owning to the Sellers until the Purchasers has accept the product as final and fair exchange. This time period to change of mind and return of product is constraint to five business days from the date of the Purchaser receiving the product brought form the Seller.
•If the Purchaser does not received the product or item/s brought within fourteen day/s of the purchase, the Purchaser is under no obligation to the Sellers and it is the discretion of the Purchaser to decide if they want/s a full refund or to continue to wait until the product is deliver. Maximum wait time for any / all deliveries is twenty-one days from the date of purchase.
•All item dispatch to the Purchaser and return to the Sellers do not attract a return post charge/cost. It is the Sellers responsibilities to assume the redelivery cost/charge. All redeliveries to the Sellers dispatch offices is only accepted through the Sellers own couriers Accounts, and is advise to the Purchaser at the time of dispatch of the Sellers own couriers.
•Arrangement will be made with the Purchaser after the Purchaser/s confirms their willingness to return the item/product/s to the Sellers.
•Any item return to the Sellers outside of its own accounts, all return postage/s is not the responsibility of the Sellers.
•The Purchaser must accept 100% full responsibility for all returns postage if delivered outside of the Sellers own couriers accounts.
Cancellation of Order, sales or online sales, cancellation of any order, sales or online sales between seven (7) and thirty (30) days following receipt of confirmed order, sales or online sales from the Purchaser by CTRADERS shall be subject to a cancellation charge of forty percent (40%) of the cancelled portion of the order, sales or online sales.

Order, sales or online sales may not be cancelled within seven (7) days prior to, on, or after the confirmed ship date. Order, sales or online sales of non-standard Products or Product configurations may not be cancelled. The cancellation charge is not imposed as a penalty, but as liquidated damages.

Changes in Delivery Schedule, change in delivery date by Purchaser, without charge, must be made in writing and received at least five (3) days prior to scheduled delivery date. Any requested delay or series of delays totalling forty-five (45) days or more shall be treated as a cancellation and shall be subject to the forty percent (40%) cancellation charge on the portion of the order, sales or online sales which is so delayed.

Shipping and Delivery, Delivery is EX WORKS CTRADERS’ UK stores or overseas suppliers’ facility (the "Delivery Point"). All risk of loss or damage with respect to the Products shall pass to Purchaser upon delivery at the Delivery Point to the carrier or freight forwarder. All freight, insurance and other shipping charges and expenses from the Delivery Point, as well as any special packing expenses requested by Purchaser, shall be borne by Purchaser. CTRADERS shall use good faith efforts to comply with Purchaser's instructions regarding shipping and choice of carrier. Purchaser must notify CTRADERS within two (2) days of receipt of Products of any discrepancies in the shipment of such Products or of any reason for rejection of such Products, failing which Purchaser shall be deemed to have accepted the Products.

2. PRICING
Quotations and Prices: Prices quoted by CTRADERS are firm for thirty (30) days from quotation date, and are quoted and invoiced in either: US, Canadian, Sterling or EURO currencies. All online auctions or eStore listings prices are subjected to change due to fluctuation in the market or competitiveness in the market or demands and supplies restrictions. Prices are firmed when purchase at the final price and offerings on any of our auction sites or listing sites, or websites.

Taxes and Other Charges: Prices do not include sales, use or privilege taxes, value-added taxes, customs and excise or similar taxes, custom duties, shipping, handling, insurance, brokerage, and other related charges levied by any jurisdiction pertaining to the Products, other than taxes computed on the basis of the net income of CTRADERS, which shall be paid by Purchaser.

Order, sales or online sales exempt from sales or other taxes must be so marked and Purchaser must supply satisfactory proof of such tax exemption. Payment: All Products sold by CTRADERS shall be invoiced and payment shall be due cleared before any dispatches or shipment.
Payment must be made to CTRADERS at its principal place of business or pursuant to CTRADERS’ written instructions. Until initial credit terms have been established with Purchaser, order, sales or online sales shall require an advance cleared payment with the all balance cleared prior to shipment, or irrevocable letters of credit or other payment security acceptable to CTRADERS. All wire payments; wire transfer of moneys and letters of credit – in US, Canadian, Sterling or EURO currencies - must be made payable or sent to: CTRADERS Ltd., C/O Abbey Bank UK / Barclays / RBS, banking details will be provided to all purchasers in view of the current trends in frauds and online fraudulent activities. All wire payments; wire transfer of moneys and letters of credit – in Euro - must be made payable or sent to: CTRADERS Ltd., C/O Abbey Bank UK / Barclays / RBS company bank accounts.

Late Charges: Invoices unpaid in full shall bear a late payment interest charge of the lower of 18% per year (one and one half percent (1.5 %) per month) or the maximum percentage allowed by law for each month or portion thereof of the amount past due. In addition, CTRADERS may cancel or delay shipment of the Products at its sole discretion. Furthermore all purchases MUST be cleared funds before the dispatch of products to any Purchaser.

Retained Rights: until payment of an invoice has been received in full by CTRADERS, the company shall retain ownership of the Products and shall retain right to the Purchaser to hereby grant CTRADERS, a security interest in the Products shipped or delivered to Purchaser

Purchaser shall promptly execute any documents necessary to perfect and protect such security interest on CTRADERS’ behalf.




3. WARRANTY
General Warranty: CTRADERS generally warrants that its Products shall be free from defects in material and workmanship under conditions of normal use for a period of one (2) year from the date of invoice. Purchaser may specifically purchase an extended Product warranty from CTRADERS. Except for the duration of such extended warranty, the other provisions of this section and of this Agreement shall apply to any extended warranty purchased by Purchaser from CTRADERS.

THIS WARRANTY IS IN LIEU OF, AND PURCHASER WAIVES, ALL OTHER WARRANTIES EXPRESSED OR IMPLIED INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES FOR MERCHANTABILITY AND FITNESS FOR PURPOSE. IF ANY PRODUCT DOES NOT CONFORM TO THE FOREGOING WARRANTY, IT MAY BE RETURNED TO CTRADERS AND CTRADERS SHALL, AT ITS OPTION, REPAIR OR REPLACE THE PRODUCT AT NO CHARGE, OR PROVIDED THE PRODUCT CANNOT BE REPAIRED OR REPLACED WITHIN A REASONABLE TIME “FORTY FIVE DAYS (45dys) REFUND THE PURCHASE PRICE.


ALL REPLACED PARTS OR PRODUCTS SHALL / MUST BECOME THE PROPERTY OF CTRADERS. THIS WARRANTY DOES NOT INCLUDE AND CTRADERS SHALL NOT BE RESPONSIBLE FOR DAMAGE TO THE PART OR PRODUCTS RESULTING FROM IMPROPER INSTALLATION, ABUSE, NEGLECT, ACCIDENT, IMPROPER USE, OR SERVICING OR MODIFICATION OF THE PART OR PRODUCT BY ANYONE OTHER THAN CTRADERS ORGANIZATION CERTIFIED BY CTRADERS.

Warranty Service: Warranty service may be obtained by:

•providing the CTRADERS Customer Service Department with written notification of a defect prior to the expiration of the warranty period;
•obtaining a Return Material Authorization ("RMA") number;
•returning the defective Product to CTRADERS’ UK business facility within seven (7) days of issuance of an RMA number; and,
•Providing proof of purchase, date and written description of the problem or failure.
•All repairs are performed at CTRADERS’ UK or overseas facility.
•Purchaser shall pay all shipping charges and assume the risk of loss or damage in transit, it is the Purchasers responsibility to insure the products for any such eventuality and covers the product for shippers problems and value added to products
•Upon return of such repaired Product, the warranty with respect to such shall continue to runs it course according to the invoices and orders that were place and cleared with CTRADERS Ltd.



STANDARD TERMS AND CONDITIONS
Product shall continue for the remaining unexpired warranty term. Services not covered by this warranty shall be provided at the then prevailing CTRADERS service rates.


4. LIMITATIONS OF LIABILITY PRODUCTS SOLD BY CTRADERS, OR ITS AUTHORIZED DISTRIBUTORS, AGENTS OR RESELLERS, HAVE NOT BEEN AND ARE NOT REPRESENTED AS BEING, APPROVED OR CERTIFIED BY ANY REGULATORY BODY. PRODUCTS PURCHASED SHALL BE INSTALLED AND USED AT PURCHASER’S OR USER’S OWN RISK. CTRADERS DISCLAIMS ALL LIABILITY WITH RESPECT TO ANY AND ALL USE OF ANY PRODUCTS BROUGHT FROM CTRADERS WITHOUT LIMITATION. IN NO EVENT SHALL CTRADERS, ITS SHAREHOLDERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES OR RELATED CORPORATIONS OR ENTITIES, BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES IN CONNECTION WITH OR RELATED TO THE PURCHASE, TRANSPORTATION, INSTALLATION OR USE OF CTRADERS PRODUCTS THAT IS BROUGHT (INCLUDING LOSS OF PROFITS, USE, OR OTHER ECONOMIC ADVANTAGE), HOWEVER ARISING, WHETHER FOR BREACH OF WARRANTY OR IN TORT, EVEN IF CTRADERS HAS BEEN PREVIOUSLY ADVISED OF THE INTENDED USE OF ITS PRODUCTS THAT WAS BROUGHT FROM CTRADERS OR OF THE POSSIBILITY OF SUCH DAMAGE.

5. INTELLECTUAL PROPERTY RIGHTS
Nothing in these Terms and Conditions shall be construed as conferring upon Purchaser any right whatsoever in and to CTRADERS’ or other suppliers intellectual property, patents, trademarks, trade names, designs, know how or trade secrets, title to which shall remain with CTRADERS or other suppliers. Purchaser shall not reverse engineer the Products or any part thereof.

6. IMPORTS AND EXPORT CONTROLS
Purchaser shall comply with all applicable regulations and laws in effect now and hereinafter, including compliance with all export controls on the distribution or dissemination of Products, technology, and information related to and/or exchanged under this Agreement, with any countries that lays laws or regulations governing exports or imports of products or services

7. NOTICES
All notices to CTRADERS shall be deemed given when sent by fax, emails or otherwise with subsequent confirmation, or mailed by certified mail, return receipt, postage prepaid, or courier service or equivalent to: CTRADERS LTD. 99 Spring Road Tyseley Birmingham B11 3DJ

8. GENERAL PROVISIONS
CTRADERS shall not be responsible for delays or failures in performance resulting from acts beyond its reasonable control. If any part or provision of these Terms and Conditions shall be found to be illegal or unenforceable therein, these Terms and Conditions shall remain in full force and effect and such part or provision shall be deemed stricken. It is understood that the customer is willing to accept different designs in the product, if designs supplied by and from the suppliers change or out of stock. Inventory is kept up to date to represent the designs place on sites or auction sites or in catalogues, but there is no guarantee that same designs will be made available indefinitely as CTRADERS does not manufacture any of its said same products display on sites, catalogues, online or otherwise. Customers understand and accepts that all products is sold to the customer on the basic of 100% accepting that CTRADERS has the right to give supply said same designs or newer more current designs to the customer as CTRADERS suppliers and or its inventory can.

CTRADERS shall be entitled, in addition to its other rights hereunder, to recover reasonable fees of attorneys, accountants and other professionals including costs and fees on appeal.

These Terms and Conditions represent the entire agreement between CTRADERS and Purchaser relating to the purchase and sale of Products and supersede all prior representations including any quotation, memorandum of understanding, discussions, negotiations and agreements, whether written or verbal, implied or otherwise. CTRADERS reserve the right to alter these terms as it sees fit at its schedule meetings and shareholders meetings. These will be publicly displayed at all times in any or all its publications and online.

No amendment to these Terms and Conditions shall be effective unless it is in writing, dated and signed by a CTRADERS authorized representative.

•No waiver shall be implied from CTRADERS' conduct or failure to enforce its rights hereunder.
•No waiver shall be effective unless in writing signed on behalf of the party against whom the waiver is asserted.
These Terms and Conditions shall be governed by and construed in accordance with the laws of the province of UK England, applied without giving effect to any conflicts of law principles.

All disputes relating to, or arising out of, this Agreement shall be subject to the exclusive jurisdiction and venue of the courts of the judicial district of England ( UK) and the parties consent to the personal and exclusive jurisdiction and venue of these courts. The parties hereby irrevocably waive any defences of forum non convenience and agree to be bound by any judgment rendered thereby.
